1. Acceptance of Terms

By accessing and using OneClick Onboard ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. We reserve the right to modify these terms at any time. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

2. Account Registration and Responsibility

To use OneClick Onboard, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the confidentiality of your password and account information
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with others
• Be at least 18 years old or have parental consent

3. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use OneClick Onboard for your internal business purposes. You may not:

• Copy, modify, or create derivative works based on the Service
• Reverse engineer, decompile, or disassemble the Service
• Use the Service for any unlawful purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems
• Transmit viruses, malware, or any harmful code
• Rent, lease, or lend the Service to third parties
• Use the Service in a way that interferes with others' use

4. Payment Terms

If you choose a paid subscription plan:

• You agree to pay the subscription fee stated at the time of purchase
• Payments are processed securely through Stripe
• Subscriptions will automatically renew unless you cancel before the renewal date
• Refunds are not available for partial months of service
• We reserve the right to change pricing with 30 days' notice
• You are responsible for any taxes associated with your use of the Service
• Failed payments may result in service suspension

5. Service Description and Changes

OneClick Onboard enables agencies to securely onboard clients to marketing platforms including Meta Business Suite, Google Ads, Google Analytics, Google Tag Manager, Google Business Profile, and TikTok through OAuth 2.0 integrations. We reserve the right to:

• Modify or discontinue features at any time
• Suspend or terminate service for violations of these Terms
• Perform maintenance that may temporarily interrupt service
• Update the Service to comply with legal or security requirements

6. Intellectual Property Rights

The Service, including all content, features, and functionality, is owned by OneClick Onboard or our licensors and is protected by copyright, trademark, and other laws. You retain all rights to any content you create within the Service. We retain all rights to the Service software and infrastructure.

You grant us a license to use, display, and perform any content you submit to the Service solely for operating and improving the Service.

7. OAuth Tokens and Third-Party Platforms

When you connect your client accounts through OAuth:

• You authorize OneClick Onboard to access those accounts on your behalf
• Your OAuth tokens are encrypted and stored securely
• You remain responsible for your client accounts and any actions taken
• You must ensure you have authority to grant access to those accounts
• We are not responsible for third-party platform policies or changes
• You can revoke access at any time through your account settings

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ONECLICK ONBOARD SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, or data
• Business interruption or loss of business opportunity
• Damage to reputation or third-party claims
• Errors or omissions in the Service
• Unauthorized access or use of your account or data

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

10. Indemnification

You agree to indemnify, defend, and hold harmless OneClick Onboard and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without notice, if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activity
• Harass or threaten our team or other users
• Fail to pay subscription fees

You may terminate your account at any time by contacting support. Upon termination, your right to use the Service stops immediately.

12. Governing Law

These Terms of Service and your use of OneClick Onboard are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflicts of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and OneClick Onboard regarding your use of the Service. These Terms supersede any prior negotiations, representations, and agreements.
